These Terms of Use ("Terms") govern your access to and use of the Volafolio mobile application, website, and related services (collectively, the "Service") operated by Volafolio, LLC ("Volafolio," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Not Financial Advice

Volafolio provides structured event data and market information for educational and research purposes only. The Service does not constitute financial advice, investment advice, trading advice, or any other form of professional advice.

  • Volafolio is not a registered investment advisor, broker-dealer, or financial planner.
  • The content provided through the Service - including event classifications, impact assessments, interpretations, historical patterns, and any other analysis - is informational only and should not be relied upon as a basis for making investment decisions.
  • You acknowledge that you should not rely on the Service as the sole basis for any investment decision.
  • Historical patterns and data are not predictions of future results. Past performance of any security, market sector, or event type does not guarantee future results.
  • Information displayed through the Service may be delayed, incomplete, filtered, or incorrectly classified. Data may not reflect real-time market conditions.
  • Use of the Service does not create any fiduciary, advisory, or client relationship between you and Volafolio.
  • You are solely responsible for your own investment decisions. Always consult with a qualified financial advisor before making any investment.
  • All investment decisions are your own responsibility.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

  • You may be required to create an account to access certain features of the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
  • You agree to notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Permitted Use

You may use the Service for your personal, non-commercial research and informational purposes. You agree not to:

  • Reproduce, redistribute, sell, license, or commercially exploit any content from the Service without our prior written consent.
  • Use automated means to systematically extract, reproduce, or commercialize substantial portions of the Service or its data.
  • Scrape, crawl, or use automated means to access the Service or extract data, except as expressly permitted by us in writing.
  • Interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or any systems or networks connected to the Service.
  • Use the Service for any illegal or unauthorized purpose.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

5. Content and Data

Our Content: The Service provides financial event data, classifications, interpretations, and related content ("Volafolio Content"). Volafolio Content is derived from publicly available sources including SEC filings, press releases, and other public disclosures. While we strive for accuracy, we do not guarantee that any content is complete, accurate, current, or error-free.

No Warranty on Data: Financial data, event classifications, impact assessments, sentiment signals, and interpretations are generated using automated systems including artificial intelligence. These outputs may contain errors, omissions, or inaccuracies. You should independently verify any information before relying on it.

Third-Party Data: The Service may incorporate data from third-party sources. We are not responsible for the accuracy, completeness, or reliability of any third-party data.

6. Intellectual Property

The Service and its original content (excluding publicly sourced financial data), features, functionality, design, illustrations, and branding are and will remain the exclusive property of Volafolio, LLC. Our trademarks, trade names, and logos may not be used without our prior written consent.

The structured event data, classification taxonomy, and analytical frameworks developed by Volafolio are proprietary. You may not copy, reverse-engineer, or reproduce our classification systems, event schemas, or analytical methodologies.

7. Subscription and Payments

Certain features of the Service may require a paid subscription. If you subscribe:

  • Subscription fees and billing cycles will be clearly disclosed before purchase.
  • Payment will be charged to your Apple Account, Google Play Account, or other payment method at confirmation of purchase.
  • Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period.
  • You may manage or cancel your subscription through your device's account settings (Apple App Store or Google Play Store).
  • Refunds are subject to the policies of the applicable app store. We do not process refunds directly for app store purchases.
  • Prices may change from time to time. We will provide notice of any price changes before they take effect.

8. Push Notifications

With your consent, we may send push notifications to your device regarding high-impact financial events related to tickers on your watchlist. You may disable push notifications at any time through your device settings. The timing, content, and delivery of notifications are not guaranteed. We are not liable for any losses arising from delayed, missed, or inaccurate notifications.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOLAFOLIO, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF INVESTMENT, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY CONTENT PROVIDED THROUGH THE SERVICE, OR ANY INVESTMENT DECISIONS MADE BASED ON INFORMATION PROVIDED THROUGH THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Volafolio, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, at our sole discretion. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to disclaimers, limitations of liability, and indemnification.

You may terminate your account at any time by deleting your account through the app settings or by contacting us.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

14. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Certain features of the Service may be experimental, in beta, or subject to change without notice. Such features are provided without any warranty of reliability, availability, or continued support.

15. Changes to These Terms

We may revise these Terms at any time by posting the updated version on this page with a new effective date. Material changes will be communicated through the Service or by email. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Volafolio, LLC regarding your use of the Service and supersede all prior agreements and understandings.
